Home | Company Law | Company Registration in Nepal: Process, Documents & Fees (2026)
Company registration in Nepal is done online with the Office of the Company Registrar (OCR) under the Companies Act, 2063 (2006). Prime Law Associates handles the whole process for Nepali and foreign founders: name approval, drafting the Memorandum and Articles of Association, filing with the OCR, and the post-registration steps (PAN, ward registration and share registry). Our corporate team has been registering companies for more than 15 years.
The most common choice for businesses. One to 101 shareholders, and the name must end with “Private Limited”.
Public limited company
For larger businesses that may raise capital from the public. At least 7 promoters, a minimum paid-up capital of NPR 10 million (1 crore), and the name must end with “Limited”.
Not-for-profit company
A company that does not distribute profit or dividends to its members and uses its income for its objectives. At least 5 promoters are required.
Foreign-invested company
Foreign investors register a company in Nepal through the foreign direct investment route, which needs Department of Industry and Nepal Rastra Bank approvals. See our FDI service.
Company registration process in Nepal
Name reservation. We check that your proposed name is available on the OCR system and reserve it.
Drafting documents. We prepare the Memorandum of Association (MOA), Articles of Association (AOA), application form and, where needed, a shareholder agreement and power of attorney.
Online filing and fees. We submit the application and documents through the OCR online system (CAMIS) and pay the registration fee, which depends on the authorised capital.
Verification. The OCR reviews the application. We follow up and answer any queries until it is approved.
Registration certificate. The OCR issues the company registration certificate with the registration number, date of incorporation and registered address.
How long does it take? Usually 5 to 10 working days from the submission of complete documents. Timing depends on how quickly documents are ready, the approvals your business needs and the company structure.

What is the minimum capital for a company in Nepal?
A public limited company needs a minimum paid-up capital of NPR 10 million (1 crore). For a private limited company, the registration fee starts at authorised capital up to NPR 100,000. Some business sectors have their own capital requirements.
How many shareholders does a private company need?
At least one, and up to 101. A public company needs at least 7 promoters.
Can a foreigner own a company in Nepal?
Yes, through foreign direct investment. It requires a minimum investment set by law and approvals from the Department of Industry and Nepal Rastra Bank. See our FDI service for the current requirements.
Do I need a lawyer to register a company?
The law does not require one, but the MOA and AOA are legal documents that shape how your company is run. A lawyer makes sure they fit your business and avoids rejections and delays at the OCR.
What can be changed after registration?
The company’s name, address, objectives, shareholders and capital. Changes usually need a general meeting resolution and an application to the OCR with the required documents.
